01Who we are
Nexa ("we", "us") provides the Nexa AI-native IDE for Windows and its connected AI services at nexa-ai.xyz. Contact: vineethvinnie143@gmail.com.
02The service
Nexa is a desktop code editor with built-in AI assistance: an agent that plans, writes, runs and verifies code, powered by the Nexa Core engine and, on eligible plans, premium third-party AI models. The software is delivered digitally — you download the installer from our site and sign in with a Google account; there is no physical shipment. Paid features activate instantly on successful payment.
03Accounts
- One account per person, created via Google sign-in. You are responsible for activity under your account and API key.
- You must be at least 13 years old (or the digital-consent age in your country).
- We may suspend accounts that abuse the service, attempt to extract or resell access, or violate these terms.
04Plans, billing & renewal
- Nexa offers a Free plan and paid subscriptions (Pro and Max) as described on the pricing page.
- Subscriptions are billed monthly in advance and renew automatically until cancelled. Prices are shown in INR (and approximate USD) on the pricing page; applicable taxes (e.g. GST) may be added at checkout.
- Payments are processed securely by Razorpay. We never see or store your card, UPI, or banking details.
- You can cancel anytime; your plan stays active until the end of the paid period. See the Refund & Cancellation Policy.
- We may change plan prices or inclusions with at least 14 days' notice; changes apply from your next renewal.
05Free trial
New accounts receive a one-time trial: for the first 24 hours after signup, premium AI models are available. When the trial ends, the account continues on the Free plan unless a subscription is purchased. The trial is per person, not per account — creating accounts to repeat the trial is a violation of these terms.
06Usage & service quality
- Paid plans include unlimited use of their models for normal individual development work, with no interruptions to your sessions.
- Nexa manages its infrastructure and model delivery behind the scenes to keep every session fast and reliable. We may take reasonable measures to protect service quality and prevent abuse.
- Automated, scripted, or resold access to the AI endpoints outside the Nexa editor is not permitted.
07Acceptable use
- Don't use Nexa to create malware, attack systems you don't own, generate illegal content, or infringe others' rights.
- Don't attempt to reverse-engineer, probe, or overload the service, bypass limits, or extract credentials or model internals.
- Don't share, sell, or lease your account or API key.
08Your code & content
- Your code stays yours. You retain all rights to code and content you create or open in Nexa.
- You grant us a limited licence to process your prompts and relevant code context solely to provide the AI features (see the Privacy Policy for how code is handled and retained).
- AI output is generated for you; you are responsible for reviewing it before use. To the extent we hold any rights in output, we assign them to you.
09Intellectual property
The Nexa software, brand, and site are our intellectual property (portions of the editor are built on open-source software under their respective licences — see the licence file shipped with the app). These terms don't grant you rights to our trademarks.
10Delivery & activation
Nexa is a digital product. The editor downloads from nexa-ai.xyz; subscriptions activate on your account immediately after Razorpay confirms payment — typically within seconds, and in all cases within 24 hours. If a paid plan hasn't activated within 24 hours, contact us for an immediate fix or refund.
11Suspension & termination
You may stop using Nexa and delete your account at any time from the account menu or by emailing us. We may suspend or terminate accounts for material breach of these terms; where reasonable we'll warn you first. On termination, unused paid time is handled per the refund policy.
12Disclaimers
Nexa is provided "as is". AI-generated code can be wrong; always review before running or shipping it. We don't warrant uninterrupted availability of third-party model providers, though the engine routing in section 06 exists precisely to minimise interruptions.
13Limitation of liability
To the maximum extent permitted by law, our total liability for any claim relating to the service is limited to the amount you paid us in the 3 months before the claim. We are not liable for indirect or consequential losses, or for loss of data caused by factors outside our reasonable control.
14Changes to these terms
We may update these terms; material changes are announced on this page (and by email for paid accounts) at least 14 days before they take effect. Continued use after the effective date is acceptance.
15Governing law
These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of India.
